The agreement for using UsefulDesk.

By creating an account or using UsefulDesk, you agree to these Terms. If you do not agree, do not use the Service.

These Terms of Service (“Terms”) govern your access to and use of UsefulDesk (the “Service”), operated by UsefulMade (“we”, “us”).

UsefulDesk is a customer-relationship tool for gyms and fitness businesses that connects to the WhatsApp Business API to help you manage members and leads, send renewal and payment reminders, run a shared inbox, and collect payments. Features may change, improve, or be discontinued over time.

• — You must be at least 18 years old and able to form a binding contract.
• — You are responsible for the accuracy of your account information and for all activity under your account.
• — You are responsible for keeping your login credentials secure. Notify us promptly of any unauthorized use.
• — The Service is intended for business use by gym and fitness operators, not for personal or consumer use.

The Service sends messages through the WhatsApp Business API on your behalf. You are solely responsible for:

• — Obtaining valid opt-in consent from every contact before messaging them, as required by WhatsApp and applicable law.
• — Complying with the WhatsApp Business Messaging Policy, the WhatsApp Business Solution Terms, and all Meta platform policies.
• — The content of the messages you send and the accuracy of the contact data you upload.
• — Having a lawful basis to process and message the members and leads in your account.

We may suspend or terminate your access if your use violates Meta’s policies or exposes our platform or WhatsApp Business Account to risk.

You agree not to:

• — Send spam, unsolicited messages, or content that violates WhatsApp policy or applicable law.
• — Upload contact data you do not have the right to process.
• — Use the Service for unlawful, harmful, deceptive, or abusive purposes.
• — Attempt to breach, probe, or disrupt the Service’s security, or access data that is not yours.
• — Resell or provide the Service to third parties except as expressly permitted.

• — The invited Starter pilot costs ₹799 for one month and includes one active branch. Your quote shows the exact total before you pay and is valid for 30 minutes. We do not debit your payment method automatically. A paid term starts only after your payment is captured and verified.
• — If you enable payment collection features, payments from your customers are processed by our third-party payment processor (Razorpay) under its own terms. We are not a party to, and are not responsible for, the underlying transactions between you and your customers.
• — To continue after your paid term expires, your organization owner must review and pay a new quote. Cancelling stops future renewal and leaves access through the paid-through date. Cancellation alone does not refund the current term.
• — WhatsApp messaging charges payable to Meta, and any charges from your own payment provider for gym-member collections, are separate from the UsefulDesk software fee.

Your use of the Service is also governed by our Privacy Policy, which explains what data we process and who we share it with. You retain ownership of your account data and your contacts’ data. You grant us the limited rights needed to operate the Service for you.

The Service, including its software, design, and content (excluding your data), is owned by UsefulMade and protected by applicable law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, reverse-engineer, or create derivative works from the Service.

The Service integrates with third parties (including Meta / WhatsApp, Supabase, Vercel, Razorpay, and optionally AI providers you connect with your own key). Your use of those integrations may be subject to their terms. We are not responsible for third-party services outside our control.

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that message delivery via WhatsApp will always succeed, as delivery depends on Meta and factors outside our control.

To the maximum extent permitted by law, UsefulMade will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three (3) months before the claim.

• — You may stop using the Service and delete your account at any time from Settings → Members → Delete account, which permanently erases your account data.
• — We may suspend or terminate your access if you breach these Terms, violate Meta’s policies, or if required by law.
• — Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability) survive.

We may update these Terms. Material changes will be reflected by the effective date at the top. Continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of India, and any disputes are subject to the courts of India.
